Development of Accounting Standard is closely related with healthy development of capital market. This thesis mainly study on the influence of new"Troubled Debt Restructuring"standard to earnings management of listed companies. On the basis of theoretical analysis using principles of institutional economics, I specially analyze the process of "Troubled Debt Restructuring" standards being formulated and revised and come to the conclusion that the latest revision of the standard could still be misused because of earnings management. In the part of positive study, I scan all A-share listed companies report in Shanghai and Shenzhen stock exchange from 2005 to 2008 and select the sample companies. After the empirical analysis I conclude: the latest revision of the standards strengthens the behaviour of earnings management, thus will bring the securities regulation certain difficulties. Finally, in view of the specific situation of listed companies, I propose specific policy proposals, such as strengthening the government supervision, improving corporate governance structure, developing the intermediary agencies and so on.This paper not only provides evidences to the authorities responsible for accounting standards, but also gives certain value to the securities regulatory bodies and the investors.
