As the circumstances of globe economic come along, the competition among companies becomes more and more fierce. In order to occupy the advantages of the market, each enterprise adopts all kinds of ways one after another to collect information of their corrivals and master the corrivals and their circumstances information with which a company makes out strategic decision that benefits its development. The electronic commerce, as a new-style commercial mode, changes the competition environment and bring about production, operation, and selling difference. Moreover, it transforms the relations, cooperating approaches among enterprises, as well as obtaining competitive information methods. The information of a company effects its success, as a result, people face with the great challenges to protect the important information of the firms under the electronic commerce circumstances, which adds great importance to the counter intelligence working. Counter intelligence working is not only a managerial thought and approach, but also a skill. It is in accordance with the developing needs of the companies to research the counter intelligence under the electronic commerce circumstances.This paper contains five parts. The first part is the introduction which mainly presents people with the written background and research significance of this article through referring to the related data and analysing the research situation at home and abroad. It also introduces the research contents and methods. The second part of the article summarizes interrelated theories of the counter intelligence. At first, it introduce the characteristics in the common environment; because counter intelligence and competition intelligence are two aspects of intelligence system in an enterprise, this part then presents the relations between the two aspects in detail. The third part arrives at the characteristics of counter intelligence by analysing the effects to the companies caused by it. The Fourth part in detail expounds the working skills of counter intelligence under the electronic commerce. This part divides into three sections as follows:flow of work, respected systems, and skills and strategy in counter intelligence working. The last part gets the conclusion through analysing and seizing the whole paper.
