According to the statistics of the data provider Dealogic, the amount of China's M&A overseas is total to $9.6 billion. in 2007, it is $25.4 billion and in 2008 hits a record $50 billion. In the M&A of the area, The asia-pacific region is most active. Since 2009, the amount of M&A in the north American have increased significantly. In the same time China has become the second-largest foreign investor after the United States.More and more M&A overseas of Chinese enterprises have been focused by scholars. At present Chinese enterprises' overseas mergers are divided into two classes:the one kind is resource-based M&A, another kind is technology-based M&A. This paper takes the latter as the research object, and through three cases,including Lenovo M&A IBM PCD, TCL M&A Thomson TVD and SAIC M&A Ssangyong automobile group, it study the influences of overseas M&A on the technical innovation ability of Chinese manufacturing enterprises.This paper argues that through M&A overseas, the enterprise can obtain technical resources, market resources and manufacturing resources of the target enterprise. These resources can help enterprises to promote their own technology innovation ability. But it needs two prerequisite:First, the enterprise has the ability to integrate external resources obtained by M&A, and has the ability to develop external ideas into innovative products. Second, the value of the merged enterprise's resources also affects the technical innovation ability.The first chapter of this article introduces background of the research, and it is proposed the specific problems of studying, and elaborated the research problem is of great realistic and theoretical significance; The second chapter reviews the relevant theory and proposed the theoretical framework of research. The third chapter includes this research method and research process. The fourth chapter is the part of case enterprise analysis. The fifth chapter is the conclusion and suggestion.
