The tertiary industry is an important part of the national economy, the development level of the tertiary industry is an important symbol, which measures the development level of a country or local economic society. In recent years, the growth of tertiary industry is generally stable in Shanghai,but it is decline in individual periods, the growth rate is even drastic fluctuation. The development of the tertiary industry in Shanghai compared with the international metropolis ,which is very big disparity. International metropolis'the tertiary industry contributes to70-80% of the national economy, it is higher than Shanghai's level. In view of this situation, the paper analyses how to further promote the development of the tertiary industry structure optimization in Shanghai.On the background of knowledge as the core of competitiveness, British is the first of the developed countries, which adopts creative industry as one of the important development economic strategies. Shanghai is the earliest development of creative industries in China; it is one of the most rapid development, strength and relatively mature industrial form cities. Creative industrys contribution promotes development of Shanghais economy. According to the experience of developed countries, creative industries will be Shanghai's new impetus of economic development. Meanwhile, creative industry as part of the tertiary industry,it will be the breakthrough of the tertiary industrial structure optimization.Firstly, the paper selects typical countries and areas at home and abroad ,it analyses their conditions of creative industries and the development of tertiary industry,and creative industries occupies an important position in the tertiary industry.Secondly,based on the situation of the tertiary industrial structure. It analyses the function of creative industries in optimization of Shanghai's industrial structure by using creative industry value system model. It drives the Shanghai's tertiary industry to deepening by improving the added value of the traditional industries ,and it inspires the development potential of new industries. Meanwhile, it promotes integration of the secondary industry and tertiary industry through extending the value system of the creative industries .Third,it evaluates the conditions of the tertiary industrial structure optimization by using American urban sociologist Richard Florida "3T "theory. It summarizes the main factors which restrict the development of creative industries and optimization of the tertiary industrial structure inShanghai .Finally, it puts forward the methods and ways of Shanghai tertiary industry structure optimization.
