As the integration of global economy and liberalization of finance, the Chinese financial market are gradually open, and foreign banks have entered Chinese market. Faced with continuingly severe competition, Chinese banks have to conduct overseas M&A inevitably for survival and development. The international financial crisis in 2008 changed the pattern of global financial markets, and also brought about unprecedented opportunities for Chinese banks. Accordingly how to identify and grasp the opportunities becomes key considerations of Chinese banks.Chapter 3 and 4 are the core contents of this degree dissertation. Chapter 3 starts with the analysis of the drivers, development history and current situation of M&A., followed by the analysis of the international environment of financial crisis. It suggests that many opportunities could be generated for Chinese financial institutions: the low price for overseas M&A, the possibility for Chinese party to attract the best foreign talents, to expand overseas markets in line with the expansion of the corporation size, and the loosened foreign regulations.. Chapter 4 presents a typical overseas M & A case about ICBC's taking over BEA Canada. It involves in the analysis of both companies'profiles, intentions, the process of this deal and the strategic concerns of the both parties. The Investment Law of Canada and the Investment Regulation of Canada are shown in the appendix which can be used as the guidance for Chinese companies which are interested in investment in Canada. Chapter 5 discusses some applicable strategies and makes some suggestions on how to conduct overseas M&A by Chinese banks.
