| Corporate governance is the most important organizational framework of modern corporate system and a system for managing and controlling corporations. Corporate governance is a new concept even in a well developed market economy. Formation of corporate governance links with separation of ownership and control power of a joint stock company. Corporate practice in the world has proven that effective corporate governance is an indispensable and strong guarantee for modern enterprises to maintain long term steady development, obtain good performance and maintain effectively interests of shareholders and managers.One of core issues in reform and development of Chinese capital market is to refine Chinese companies' corporate governance. This thesis discusses "one dominant share" and "insider control" and other phenomena that exist amongst listed companies in China in combination with China's actual situation and put forward countermeasures for managing Chinese listed companies in order to supervise and control on one hand and encourage on the other hand and realize effective capital operation to the utmost extent based on relevant spirits in 16th Congress report and 16th third plenary "Resolution", targeting at abovementioned problems amongst listed companies in China.This thesis demonstrates mainly by deductive analysis and analyses corporate governance theory and current situation of corporate governance in China with actual statistics. On such basis, it has put forward some suggestions on refinement of management of listed companies in China.
