Corporate Governance Structure

Corporation is an important form of modern enterprise system, which plays an active role on changing enterprise's operation mechanism, improving enterprise's efficiency. The problem of corporate governance has been an important and hot topic on which Chinese and foreign specialists have been working to find the best solution. The issues of corporate governance in China result from the economic institution reform. The state-owned enterprise reform in China is in fact the reform of the state-owned enterprises' governance and management, and establishing modern enterprise system refers to establishing complete and standard corporate governance and scientific management system. As a result, the research on corporate governance is of great importance in both theory and practice.The corporate performance is not only affected by structure of share but also by structure of corporate governance. The object of company reform is to build up the mechanism of modern enterprise and to improve the performance of corporate. The real pledge of building up the mechanism of modern enterprise is the well structure of corporate governance. In western, there are some stately owned companies in the developed country. Their performance is better than the performance of privately owned companies. So the problem is not the result of holding share by the state, but the result of the structure of corporate director, that is, the structure of corporate director has the close relative with the corporate performance, that is the reason why I study the topic.Though the combine of qualitative analysis and quantitative analysis, we explained the relative problem of corporate governance.
