It is known that public utilities in China are state-owned enterprises, because of the absence of owners and the insider control, their performances are usually inadequate. In the global trend of privatization for public utilities and with the study of corporate governance, more decision-makers realize that a sound and effective corporate governance is the micro foundation requisite to the development of companies, and is the indispensable mechanism to maximize and coordinate the interests of all relevant parts. So the government has decided that corporate governance structure will play the crucial part in the company reform. Based on the previous corporate governance theory and the results of some researches, this thesis found some defects of corporate governance in the public utilities through empirical analysis and also gave suggestions to improve them.There are five parts in the thesis. (1), the preface part. This part describes the product and roles of public utilities in national economy. Then tell the importance of the study of public utilities' performance and their corporate governance. (2), the theory and literature part. This part explains the necessity and trend of the reformation of public utilities, and then gives an overview of the literatures on the relation between corporate governance and performance. (3), the design of the empirical analysis and the relevant statistics. This part is the examination of the performances of listed public utilities, and some variables are given accordingly. (4), empirical analysis. This part is about the data analysis. (5), conclusions and suggestions. This is one of the main components of the thesis. Supported by the theory and empirical analysis, conclusions and suggestions are put forward to improve the performance of the listed public utilities in China, which is expected to be helpful in the reformation of the public utilities.
