Js High-tech Investment Group, Temasek Model Corporate Governance Structure To Introduce

Corporate Governance is the kernel of modern enterprise system, and the board ofdirectors is the most effective vehicle of corporate governance. However, three obstacles mayhamper state-owned enterprises to set up its current system, there are formalized boardconvention, inefficient directorate, and weak internal personnel control. Singapore TemasekHoldings Corporate Governance in brief and efficiently and practically, proving a stateownedbusiness enterprise can also make good. Js High-Tech Investment Group, as a whollystated-owned enterprise, is the first company in China to use Temasek mode. The Group setup half board of directors from outside, no supervision unit but with "one-unit"-governancestructure. This thesis will illustrate corporate governance structure, main corporategovernance structure mode, current trend, the current Chinese SOEs'governance structure, theproblems and reasons of JS High-Tech Investment Group by using Temasek mode, and at lastprovide suggestions for SOEs. This thesis has four chapters. Chapter one is introduction, aims,and methods of the thesis. Chapter two is to illustrate current corporate governance and thedirection of corporate governance structure. Chapter three is introduce Temasek mode andfeatures, and discuss Temasek mode of Js High-Tech Investment Group; chapter four is toprovide some useful thoughts and suggestions for SOEs'property reform.
