Enterprise as the microcosmic form of macro-economics in our country, their healthy development is the main motivation of our economic development, also is the basis of the steady economic development. Since the effective Corporate Governance is the basic condition for some enterprises, which can steadily and persistently develop, the effective Corporate Governance is the precondition of healthy economic development.Commission agent theory is the main composition of Corporate Governance, which is called the main theory in Corporate Governance. The agent between corporation owner and corporation operator -the surrogate is broadly studied in academe, which also is the main topic in this paper. Establishing a inspiriting and restricting mechanism is the main approach to solving this problem. From the views of directorate's, this article explored the relation between the directorate's supervise and the efficiency of inspiriting and restricting mechanism.From the agency between directorate and corporation operators, put the directorate supervise into the model as a variable, to explore the directorates supervise effect on the efficiency of inspiriting and restricting mechanism. We get the conclusions as follow:1) Inspiriting and restricting mechanism has a positive relation with the directorate supervise.2) Corporation operators' salary has a negative relation with the directorate supervise.Take 254 listed companies of our country as sample, after reviewing the directorate supervise effect on the relation between Corporation operators' salary and firm performance, we get the conclusions as follow:3) The directorate and the independent directors haven't play a important role, as we expected, in inspiriting and restricting Corporation operators. The size of directorate and the ratio of independent directors in directorate have an indistinctive relation with the logarithm of Corporation operators' salary.
