Chinese capital market went into full circulation time after reform of non-tradable shares. Shareholders can elevate market value of stock prices and improve the value of their equity by injecting high-quality assets and realizing quality assets to capitalization and securitization.On the other hand, because of the acquisition of new assets are usually more potential than common assets,so the assets of listed companies which inject into the companies can interest the additional specific holders and raise the funds required successfully. Considering that IPO has been slowed down since last years, assets injection and list integrality is becoming the more important method to realize high-quality assets to capitalization and securitization.The paper which combining with the author's practice of assets injection in the capital market of China, analyzed the selection of time and method in the case of the assets injection and Non-public offering and considered the impaction on the performance of listed companies and shareholders interests on both qualitative and quantitative aspects by in-depth study on relevant scholars' theories about assets injection of listed companies.The paper includes four parts mainly .The first part is the introduction which present the background, significance, emphasis and invitation of the topic.The second part defined the key concept and recalled the considering literature. The third part is the analyzing of the case. This part introduced the background, operating programs and the significance of the assets injection of ZongshenPower. The last part is the summary and inspiration of assets injection of listed companies which analyzed the impaction and significance on the aspects of time selection and underlying asset, etc.
