China Listed Companies, which invest overseas to set up industries and subsidiaries, branches as well, keep expanding in scale in recent years. Overseas subsidiaries have increased rapidly in operating income and profits which have taken up the important position in financial indicators of the listed companies. Therefore, the financial information disclosure of oversea subsidiaries has become more and more concerned issues to investors.The article has contrasted the relevant regulations of overseas subsidiaries financial information disclosed, through selections and analysis of annual reports of Sampled A-Share listed companies in our country, to find out the potential problems of our oversea subsidiaries while disclosing financial information; to compare US and China with the difference of both detailed rules; and to put forward development strategies and suggestions, which may provide investors with the understanding of overseas subsidiaries, and offer experiences and references to supervised organizations in our country.This thesis is comprised of six parts. The first part.discusses the theories, logic, and analytical methods employed throughout, and also mention the creative point and weakness of the article. The second part explains financial information disclosure of US foreign subsidiaries of listed companies. It includes the information disclosure system of American listed companies, and the main content concerning the information disclosure of foreign subsidiaries in US accounting standards and regulation rules. The third part analyzes the financial information disclosure of China's listed company foreign subsidiaries, and selects the ten sample companies to compare their financial data and disclosure situation, to find out the problem through the analysis. The fourth element makes the comparisons of the financial information disclosure between U.S. and China. Comprehensively compare the similarities and differences of overseas information disclosure between the two countries with the accounting standards and regulation aspects. The fifth countermeasure and suggestion is for the financial information disclosure of the foreign subsidiaries of China listed company. Finally, the thesis concludes the main research results and the further research directions.The unique contribution of this thesis lies in that the author uses financial information disclosure of the listed company foreign subsidiary as the special research topic, and combines the data of subsidiary financial information from the annual report of listed company to analyze, then finds out the probably existing common problems for those foreign subsidiaries. Finally, the paper sets forth the countermeasure and suggestion against those aspects. The weakness of the article is that the selected sample data and annual report disclosure information are limited, and the research method needs to be modified as well.
