In 2002, "Sarbanes Bill" isn't only promulgated in the United States, but has aroused great repercussions in the world. With the passage of time, this powerful shock wave didn't gradually subsided, but continued to "heat up". Obviously, American "Sarbanes bill" power has surpassed bill itself and national boundaries, and the essence moved the "chicken ribs" to Chinese enterprises. Although there are not too many domestic enterprises plan to become listed companies in the United States in 2008.That is to say, directly affected and impact of enterprise by the challenges of American "Sarbanes Bill" are not in the majority, but the bill is enacted trigger the intense discussions in operation of the company's compliance and corporate governance, and on the perspective of a corporate which is governed operation and regulation, regardless of whether the enterprise choices available in the United States, as long as its long-term development must be sought on a issue fully.To response "Sarbanes Bill", Chinese enterprises in American to be listed may be to pay very high costs. But it should be a correct view.Although the cost of provisions in bill always has every year in every company, but the first year is to follow the highest price, and after a year the costs will significantly decrease. While businesses doing all the work around the "Sarbanes" is actually to improve the management capacity of the enterprise, and it is also the necessary price to control risks for every company.The price can eventually transformed into productivity, so that enterprises benefit directly.In this paper, using a combination of theory and practice, in the basis of actual wording about the statement to Sarbanes and governance of listed companies, because of the requirements of the Sarbanes bill, research and analysis the change to the governance of Chinese enterprises in American to be listed internal control, information disclosed, internal audit in this three areas in-depth, and then make relevant impact and improve strategies, to improve the governance of listed companies.
