Emergencies are the sudden onset caused or may cause serious harm to society, need to take emergency response measures to cope with natural disasters, accidents, disasters, public health incidents and social safety incidents. In recent years, the incidence of emergencies showed a rising trend, corporate law scholars has become increasingly concerned about the relevance of organization and emergency problems, the study of corporate social responsibility has begun to gradually shift a new perspective associated with emergencies. In the social background of increasing incidence of emergencies , the study of company's social responsibility conduct a great significance: It not only can prompt us to improve the company's legislative, corporate social responsibility, measurement and indicators, as well as corporate social responsibility reporting system, but also helps to build corporate culture, to promote its value system formation to guide company management to establish a crisis management concept.There are several research methods in this paper such as literature reviewing, comparison, case study and chart methods. Based on existing emergency as well as theory of corporate social responsibility, the author clarifies the meaning, significance and function undertaken by corporation in the course of emergency. Through the analysis of such cases as Wenchuan earthquake and Sanlu crisis, the author elucidates the scope of responsibility undertaken by firms as well as the operational mechanism of CSR. Finally, on the ground of the prevalence and specialty of conflict, the author finds out the kernel for enterprise to fulfill its CSR, and reaches the leading conclusions as follows. Firstly, as far as the CSR is concerned, in accordance with the view of carol, the CSR should be divided into such categories as economic responsibility, legal responsibility, ethical responsibility and charitable responsibility.Secondly, to prevent and regulate emergency of various kinds as well as lower the rate of emergency, it is pivotal to perfect both the interior and the exterior regulations about CSR. At the same time, there is no denying that both perfecting the mechanism of supervision on CSR and standardizing the CSR reports will play a paramount role in facilitating the behaviors of CSR.
