A Study On The Legal System Of Company 's Manager

Commercial transactions are characterized by the pursuit of efficiencies and conveniences, thus the corporation managers have been awarded a wide range of power. As a kind of power of commercial agency in western countries, corporation manager’s power refers to that corporation manager can conduct any business behaviors on behalf of corporation whether of litigation or non-litigation. With 1993 PRC Company Law enacted, the legal system of corporation manager’s power was set up in china. Compared with Western countries, there are many defects in our legal system of corporation manager’s power even though PRC Company Law has been revised several times. In PRC Company Law, corporation manager’s power is not as a kind of power of commercial agency, the structure of power is incomplete, that limit the development of our modern company. In view of this, this dissertation by comparing the two major law systems in corporation manager’s power, analyze the basic rules of corporation manager’s power, provide some suggestions to improve and perfect our corporation manager’s power.
