Research On The Value And System Of The Articles Of Association

The Articles of Association(the “AoA”)of a company always be regarded as the “Small Constitution”.It is a natural derivation of legal person’s personality, and it stipulates the formation and operation of a company. AoA is the basis to company autonomous, and it is also an important basis of company behavior. AoA means autonomy of will for all shareholders, and it is playing a more important role in a company because it can not only benefit company’s development, but also can protect benefit for all parties. The central point of this paper is the legal value of AoA, it will begin with the introduction of the importance of AoA in different countries, and then using two cases to explain it. At last, by using the experience of Common Law System and combing our country’s current situation, the author provides suggestions about completing AoA.
