In addition, information disclosure system and the board of directors and board of supervisors system, is also the common problems in the merger, also needs to be perfected.This article tried to start from the the two typical merger case,combined with the present status of the company to the protection of the rights and interests of small shareholders in China, leaded to the necessity of the protection for small shareholders’ interests, and emphatically discussed the small shareholders in the process of the merger for objection shareholder buyback, finally threw out some suggestions from three aspects those are the appraisal right of the dissenters, information disclosure system, the board of directors and board of supervisors system. I hope to play a role in the healthy and orderly development of market economy in China and protecting the interests of small shareholders.
