On The Application Of Shareholder Representative Lawsuit System

The Shareholder Representative Suit system is an important part of the common law system, it has formed a perfect system after more than hundred years of history. China has introduced this system when we revised our company law in 2005, but it mainly reflected in article 150 and 152. These two rules only defined some principled requirements, lacking of details. So the Shareholder Representative Suit system has not been practical used in our country.Therefore, we need to strengthen the legislation in reference to experiences abroad. Innovating theories, making bold experiments, then we can perfect our Shareholder Representative Suit system, make it become effective.This paper is divided into three chapters, starting from the foreign system, discussing whether these rules are feasible in our country by comparing. Then I put forward some suggestions in chronological order, in an attempt to improve our system.
