Enterprise Limited Partnership System And Its Application

The system of Limited Partnership originated in COMMENDA during the eleventh century. It arose to meet with the needs of the investors who prefer to invest their capital rather than run by themselves and the entrepreneurs who have no funds but only rely on the technique. Limited Partnership is adopted by legislation in many countries, for its convenient establishment and the advantages of satisfying the demands of various investors. After China’s reform and opening up, the non-public economy began active and the national economy has great development. Foreign venture capital began to enter into and domestic venture capital began to sprout. Nowadays, as the intellectual economy develops fast, partnership organization which is composed of general partners and limited partners is meeting the needs of high-tech entrepreneurs as well as growing medium and small sized entrepreneurs, and it is particularly suitable for the development of the venture investment. Currently, our market economy system becomes more and more complete, which addresses the need for improving conditions of limited partnership. Based upon this, our Law on Partnership Enterprises (modification) is added with the chapter of Limited Partnership in 2007, which assured this system and would surely promote the development of our economy.In this thesis, the author tries to start from the concept of Limited Partnership, sums up the process of its generation and development, and clarifies its development status in American and China. Then, by comparing and analyzing systems of limited partnership, silent partnership, limited liability company, general partnership and GmbH & Co Kg, the authors states the advantages and necessities of developing the system of Limited Partnership in China. At last, the author study on the practical problems of Limited Partnership appeared in reality, especially its reality in the small and medium-sized enterprise and the venture investment. Several related solutions are presented at the end of the thesis.The system of Limited Partnership is just in the start-up step and related legislations are waiting to be improved in our country. It is hoped that China can make full use of the vibrant enterprise organization form to promote the rapid development of our economy, and make greater contributions to the construction of a socialist harmonious society in china.
