A Study On The Legal Problems Of Private Equity In China

A legal study of Crowdfunding platform is an extremely important issue, Crowdfunding platform which connects issuers and investors, is one of the core elements raising crowdfunding to success. At present, there are few research on Crowdfunding platform from the lawal point.This thesis begins with legal implication,legal nature,legal duties,the establishment of Crowdfunding platform and its significance, discusses the legal relation of Crowdfunding platform,analyzes the problems of Crowdfunding platform and puts forward the creative solution path.Besides introduction and conclusion,there are three parts in this paper.The first part is about the basic concept, legal nature, legal duties, the establishment,the significance of Crowdfunding platform. The thesis adopts the title of "Crowdfunding platform".This part mainly discusses the definition of Crowdfunding platform, at the same time, this part analyzes legal nature of Crowdfunding platform and describes the legal duties and the establishment,finally this part put the importance of Crowdfunding platform.The second part illustrates the legal relation of Crowdfunding platform. The legal relation of Crowdfunding platform includes the subject,object and content.This part sets forth the elements of the subject such as platform,issuers,investors and trustee;analyzes the object of Crowdfunding platform;points the content of Crowdfunding platform such as brokerage contract relationship,partnership,the rights and duties in the relationship between investors and trustee,and attorney-client relationship.The third part points out that Crowdfunding platform is in the early stage of development.And there are lots of problems which restricts the development of Crowdfunding platform. This part analyzes four aspects about the problems,and further discusses legal rules on Crowdfunding platform.The thesis systematically studies on the legal problems of Crowdfunding platform, points that the insufficient of platform and puts forward the suggestion.This thesis uses the methods of legal interpretation and comparative analysis.This thesis gives the thinking and review of Crowdfunding platform to meet the practical needs of Crowdfunding platform’development.
