According to the experience of the developed countries, we can safely conclude that the industrialization of high-tech is the vital force for the economic development, it's also the key factor in embodying a country's economic innovation, what also true is that venture capital is indispensable to the industrialization of high-tech. In china, venture capital is still in the initial stage, owing to the lack of support system of venture capital, Chinese high-tech industrialization and national innovation is greatly prohibited. At the moment, China is undertaking the strategy of "invigorating China by means of science and education", this is to solve the very problem of high-tech industrialization. Therefore, the theory and experience of the western countries is a necessary and practical question for study, the western countries' advanced theory and experience can facilitate China's venture capital with theoretical base and intellectual support.The paper is divided into three parts. It has helped the innovation into a period of "bee swarming", and it makes the new economic practical rather than potential. Yet it's development still follows the general law of political economy.The second part: It offers a comprehensive analysis of overseas venture capital on its development features, experience, policy and trend, hoping that they can serve as references for China's venture capital development.The third part: On account of the general theory and overseas experience of venture capital, it analyzes the significance of developing venture capital in China. The current situation and problems of venture capital in China, and it puts forward some suggestions for speeding up China's venture capital. It's in the opinion that venture capital in China has a bright future, but the rules and regulation for it are more important than the technology.
