The dissertation is divided into 4 sections that are separately preface, chapter 1, chapter 2 and chapters. Chapter 1 studies the essentiality of establishing the Chinese management system of state-owned enterprises( MSSOE )from the original history, special functions and the property-right characteristics of state-owned enterprises (SOEs): firstly, the origins of SOEs are not overcomes of market mechanism spontaneous practice, but the effect of government interference in the economy, because of the external economy, natural monopoly and uncertainty and so on. Secondly, SOEs have many special functions: they supply public goods and service that private firms are unwilling to supply or unable to produce in order to keep social economy and life work. Those special functions not only lie in economy but also enter political field. Thirdly, the property rights of SOEs have their own characteristics: the owner of SOEs is not concrete and scope-limited man , but all people in one county, and according to game theory, not every man is ready to take care of the state-owned firm and as a rational man, he should be a free-taker because the others would look for the firm, so almost everyone also thinks. Consequently, all people do not take care of the firm and there appears off-duty ownership; the principal-agent has too long length and too many layers will lead to serious adverse selection and hazards of moral because of asymmetric information .Chapter 2 firstly focuses on comparisons among several foreign Chinese management systems of state-owned enterprises. And then it analyses the determination factors such as the system of market economy, the size of the state and the scale of its economy, the level of production forces, party politics and ideology and so on, which decide the shaping of a MSSOE.Chapter 3 works out the blueprint of the new MSSOE on the basis of assimilating the successful experiences of other countries and fully considering the realities of China. What is the new MSSOE of China? It has such elements in the following: the Fiscal Department which is the core of leadership and the ownership representative of the Center-owned SOEs in charge of the Center-owned SOEs, local fiscal bureaus of all levels which manage the local SOEs politically or theinmanagement committee of state-owned assets which are the owner representatives of local SOEs, the management companies which manage state-owned assets in those enterprises, and local SOEs which possess property rights of legal person .The new MSSOE has two basic layers of principal-Agent relation and three sides, which cuts out redundant management organizations and shortens the principal-agent chain of the old system and explicitly identifies duties and responsibilities of all management organizations. So it may realize the Three Disseverances of government-enterprise relation reforms.The dissertation has its own characteristics: comparative method and positive method are used widely in the process of research; the other hand, modern economical theories such principal-agent theory and property right theory can be found in the dissertation.
