The thesis stems from the thinking on job practice and development of Hunan Electric Power Company, mainly concerns HEPC as a basic economic entity of state power industry how to implement standard company restructure, construct modern enterprise system, establish and perfect company governance organizations and coordination among them, exercise valid incentive and constraint mechanism, and attain the purpose of increasing management efficiency and benefit during the process of adaptation to power system reform.Chapter 1 introduces the basic theory of company governance structure, summarizes the achievements of research on company governance structure and practice, analyzes the current issues on company governance in China. Chapter 2 analyzes the current situation and problems on governance structure of HEPC. Chapter 3 emphases the basic principles on the governance structure of HEPC, the rights and responsibility of each part of governance organizations, and mutual relation of each part, brings forward the governance pattern of "general manager responsibility system under the leadership of board of directors" , expounds the governance pattern of parent company, sub-company and branch company, and the operation model of special committee of board of directors for HEPC. Chapter 4 discusses the theory and operation rules of the incentive and constraint of HEPC, brings forward the compensation pattern of "comprehensive performance plus future award system" for HEPC. The discussion on the governance structure of HEPC adapts to the organization and state-solely-owned company similar to HEPC, such as railway and telecommunication company, etc...
