Then it expounds the significance of standardized developing the private-offered funds in respects of the economy and securities market.On this basis, according to the present situation of Hunan Jing-Zhi investment limited company, which is a private-offered funds company, this thesis summarizes the superiorities such as the specialist money management, meeting the demands of the investors, protection measures of the investors and profit allotment system. Then, this thesis points out the problems during the company developing and the privately-offered fund operating, such as law status uncertain, risk controlling structure of organization and anti-risk measures lacked, contract not standard, specialized staffs lacked, portfolio not rational and information not transparently announced. They are because of the particularity of the securities market, capital market, financial system, lawful and trustworthiness environment of China. And the thesis suggest that we should study the managing experience of the private-offered funds from the overseas, such as the limitation of the investor's qualification, the offering methods and the advertisement, the investing strategy, the risk controlling system and the encouraging system of remuneration.At last, this thesis gives relative strategies for Jing-Zhi company such as adjusting the strategy and marketing position, setting up risk controlling system and taking anti-risk measures, making standard contract, establishing scientific human resources managing system and taking valid encouraging measures, designing rational portfolio and setting up a system of announcing transparent information.
