The paper point out that the problem existed between the commission and agent is the main reason for the trouble, which arises in the listed governor, through approaching the listed corporate governance in general. Based on the theoretical discussion, it deeply analysis the current situation and the problem, which exist in the share-right structure, the protection of shareholders' right, shareholder's committee, board of directors, board of supervisors, promotion and binding system, system for the outside management, information exploration, and etc. Moreover, in the light of the existed problem, and considering our national listed status, it draws out some suggestions to improve the listed corporation governor, referring to the criteria from the practical governor of the oversea companies, and the good experience of those advanced countries. These improving methods are on how to let the share-right structure more appropriate, how to perfect the shareholder's committee, board of directors and board of supervisors, how to build a system to drive the related involve into the company management, and how to optimize the system for the outside management and information exploration.
