With the development of modern enterprise system, Related transactions are the necessary result, its existence is unavoidable, which has many advantages, usually the laws of nearly all countries in the world don't forbid the related transactions. With more and more group enterprises are founded in our country, there will be more Related transactions within the group enterprises. Presently, in the securities market of our country, Related transactions among related parties are extremely frequent. But Related transactions happen between special parties which have controlling and affecting relevant relations, when lacking of correspond regulations of law, in order to buck for some unfair interests, related parties and listed companies are usually apt to distort terms of exchange, which making the Related transactions unfair. Unfair Related transactions will affect the interests of our country, minor stockholders and creditors, will affect the achievements and long-term development of the listed companies, indeed will affect the healthy and normative development of the securities market. It is very important to research and normalize severely related transactions.This dissertation is made up of 4 parts. The chapter 1 analyses the definition, law characteristics, sorts and the reasons of related transactions, and analyses the reasons of related transactions by means of economics. The chapter 2 analyses the representations of related transactions and the characteristics of the representations, and analyses thoroughly why the related transactions in our country are so frequent. The chapter 3 illuminates that normalizing the related transactions is emergent by analysing the exiting problems of the related transactions and the negative influences of them. The chapter 4 is the analysis of countermeasures. In order to normalize the related transactions in our country, I bring forward some concrete law measures on how to improve the tax law, the company law, the corporate governance structure, information disclosure etc. The epilogue is the summarization of this dissertation.
