As strong economic entities, modem companies make the huge impact on society. Therefore companies should think about the interest of stakeholders and society at the time of earning profit. The theory of stakeholders and society interest and debate between interest and morality since acient China are the justifications for strengthening corporate social responsibility. The article points out, the key to the problem is how to construct the board of directors reasonably .Employee representative and other non-shareholders' representative being participating in the corporate governance structure is a approach of the problem. According to "two parts and three kinds interest representative system",the board of directors should consist of three kinds of interest representative equally, namely, shareholder representative, employee representative and other non-shareholder representative. Shareholder representative is the executive director and the other two kinds of interest representative is the non-executive director in the board of directors. The main function of non-executive director is interest supervision and to enforce executive director to fulfill social responsibility voluntarily.
