On the base of reality,and by taking the civil profitless coporation as examples , this paper makes a theoretical and practical study on value of the profitless coporation.This paper summarizes the theories about the definition of the stock-value and factors those influence the stock-price in the economical territory. The writer define the stock-value as the profit that the investors are able to gain in the secondary market as a research fellow. According to the factors those influence the stock-price , the paper use the theory of combining fundamental analysis with technical analysis and combining macro-analysis with micro-analysis.Therefore in the first chaper, while the paper present the theories, it emphasizes the theory of the schools of fundamental analysis ,including the statistics, discounting and the event study.In the second chapter , the paper analysis the tatal and the example of the profitless stock from the angle of the macro-analysis with micro-analysis,including the Fundamental and the Technical characteristics,and the reasons to those characteristics. Therefore,the paper concludes that Merger & Annex(abbreviation: M&A) is the reason why the profitless stock have value that the other stocks have not.In the next section ,the writor analysis the value of the profitless stock basis on the theories in the chapter one and the conclusion of the chapter two . It states that before M&A ,"the shell resources"is the intrinsic value of the profitless stock. As soon as the M&A happen, the value of M&A include that of "the shell resources".Considering the above-mentioned views,this part probe into not only the value of M&A but also that of "the shell resources".In the last part . the part takes further steps to the above conclusion through analysising how the M&A of a example profitless corporation influenced the value of its stock.
