With the development of globalization and knowledge economy, Chinese IT enterprises have to implement Knowledge Management (KM) in order to enhance technology innovation ability and form core-competence. Especially with the China entrance to WTO, it is necessary for Chinese companies to realize the importance of Knowledge Management to achieve technology innovation performance and become competitive in international market. Such kind of condition should be considered seriously and Knowledge Management should also be paid more attention. Therefore, it is critical for Chinese IT firms to have deep insight into the relationship between Knowledge Management and Technology Innovation.Based on the analysis on plenty of former theories about KM and research on current condition within Chinese IT companies, this paper firstly supposed a conceptual modeling of Knowledge Management that could probably exit within IT firms. Therefore, we visited more than 50 Chinese IT firms for interview and sent about 185 questionnaires by email or postal mail to collect necessary dates. At last, 146 effective questionnaires were received and became test date in this paper. Then, we used SEM (Structural Equation Modeling) to examine orient conceptual modeling and Amos Graphics was taken as analysis tool. After evaluation and adjustment, an optimal and updated conceptual modeling was obtained, which successfully met all the raw dates. Afterwards, we viewed all the text outputs produced by Amos and analysed those results to make clear all the relationship among this model. Finally, case study was also used in this thesis to prove the practical function of the optimal conceptual model.There are 5 main conclusions that can be drawn from this thesis:1. IT factor, Culture factor and Structural factor are the three different aspects of enterprise factor that can affect Knowledge Management. All of them are related with each other.2. All the three enterprise factors can affect Knowledge Behavior, then Knowledge Output and finally Technology Innovation Performance. This is a proven path.3. All the effects within this model include direct effect and indirect effect.4. Besides direct effect on Knowledge Behavior, structural factor has directeffect on Knowledge Output. So structural factor is the most critical one capered with other 2 factors.5. Besides direct effect on Knowledge Behavior, IT factor has direct effect on Technology Innovation Performance.
