The system of Executive Stock Option is an increasingly popular means of remuneration applying to and widely received in developed countries, hence, it become one of important incentive systems in the listed company of the countries in the world. Because it can spur managers and employees to work hard for company's development for a long time, at the same time, ESO play an important role in curtailing cost of commission and agency.In the late of 19th,ESO was introduced to China , a lot of entrepreneurs and academicians express the passion and enthusiasm greatly to it. But what let people feel regrettable is these modes are short of responding law and regulations. With the result that they appear seriously inadaptable in China, a lot of academicians carried out the research to it and brought forward many advices, but these can not break through the field of economy science . The second part analyzes the development in mainland in China.The third chapter analyzes the main obstacles carrying out ESO in listed companies of China, including the obstacles of corporation law, securities law, the lack of regulations in the tax and fiscal system.The fourth chapter is about emending and improvement of related regulations of ESO, we can carry out ESO in china by applying the mode in which the corporation law plays the dominant role , at the same time improving the securities law and the tax and fiscal system.
