The article starts from the concept and meaning of corporate governance, systematically elaborates the theoretical source of corporate governance, and compares and analyzes the difference in the category of corporate governance from the two angles of law and economics, puts forward the basic principles of corporate governance.After china's joining into the WTO, state-owned commercial banks face great pressures from home and abroad. The drawbacks caused by the corporate governance model under the present system of property rights not only lead to huge amount of bad assets, but also seriously impair the innovative capability and international competitiveness of state-owned commercial banks.Through the analysis and comparison of the corporate governance models starting from the angle of economics, it can be found that the joint governance model by interest groups is the most reasonable. It breaks through the logic of "shareholder primacy" followed by traditional theory", takes the maximization of social welfare as its aim, and considers the interests of every interest group.From the angle of law, after analyzing and comparing the characteristics of Anglo/American model and German/ Japanese model, the article thinks that the corporate governance model that taking internal supervision as the core and considering the external supervision is the reasonable and feasible selection for state-owned commercial banks.Besides, the article, in the aspect of the further improvement of the corporate governance of state-owned commercial banks, puts forward many feasible suggestions, such as the invitation of strategic investors and completion of shareholding system transformation, adoption of competitive mechanism, establishment of check-and-balance system, prevention and treatment of "insider control" and the improvement of efficiency evaluation system of corporate governance.
