Since 1980s,development trends of commercial banks all over the world have become centralized,universal,e!ectronical and transnational banks .It is a universal phenomenon for the foreign commercial banks to form stock-holding cooperations and become listed companies as soon as the conditions being allowed.China's state-owned commercial banks have to implement stock-holding system if they are to go with the tide of banking,overcome the difficulties in developments, establish actually modern-commercial banking system, strengthen competitive power and achieve the international strategy goal. China's state-owned commercial banks' implementing stock-holding system and becoming listed company not only need to use the experience of the foreign banks for reference but also be from the reality of China. These banks may benefit by the experience of the foreign commercial banks' healthy corporate governance structure , of financial holding company models.as well as of the measures of promoting capital adequacy and resolving non-performing loans.The superficial cause for hindering the four banks'becoming listed companies is capital inadequacy and great of bad loans while the profund cause lies in the lack of consummated stock-holding system from which many problems arise.These problems are about company structure ,managing achievement, incentive and discipline mechanism , information disclosure and so on.Therefore, for stock-holding system reform .China's stock-owned commercial banks has to resolve the above problems and arrange of stock controlling right as well as equity structure before becoming listed company..
