Under the structure of "the giant state stocks". it is un-avoidable for the main stockholder to control the whole stockholder's conference. However, the essential reason of such invalidation lies in absence of the agent of state stocks and faultiness of agent's system. It is suggested that the board of directors is the key item to decide corporate governance result, and it is an effective method to enhance corporate governance result to clarify the board's rights and reliabilities and assign the function for special committees. Because of external phenomenon of the supervision weakness of supervision committee, supervision committee can disappear gradually from corporate governance frame. High attention is paid on how to keep the independence of independent board.To sum up. the article suggests that the assimilation of external mode of corporate governance is apparent in the world. while the corporate governance result lies on its particularity and mechanisms. It is pointed out especially that human resources occupy dominant position in corporate governance.
