As the equity status of intelligence capital rises and then the change in the corporate governance structure that follows, the role of corporate finance will change accordingly. As the controller of profit distribution in the organization, corporate finance department is expected to make use of appropriate forms of employee and executive benefit plans as the driving force for the realization of corporate objective and for the inner control system to operate smoothly. Different types of incentive plans are described in the article; furthermore, approaches to design various financial instruments as incentive tools are also provided and analyzed. The author emphasizes on four different aspects of incentive plan: the social benefit aspect, the benchmarking system, the application of financial instrument, and the accounting and disclosure of such benefit plans. For the four aspects, problems that deserve consideration, detailed implementation procedures and useful tips in practice, both domestic and foreign, are discussed for their final implementation. The article aims for providing some useful thoughts for the author's financial accountant counterparts who had once considered similar issues during their work.
