On The Improvement Of The Independent Director System In China

The independent director institution being introduced into PRC is in order to solve the problem which has troubled the corporate governance of listed company in china mainland seriously. But, disappointedly, many deficiencies were exposed in short-term practice of carrying out the independent director institution in china mainland.This thesis examined the history of the development of the independent director institution abroad detailedly, introduced the functional mechanism of the independent director institution in foreign countries carefully and analyzed varied factors of institutional circumstances and traditional civilizations which deeply influenced the arrangement of institutions. Base on above, the thesis argues that either the arrangement of an institution or the effect of carrying out this institution is close related with the varied factors which include institutions of social economics and politics and cultural tradition of local society.In this dissertation, the author absorbed the ideology which emphasized the effects of "local resources" in the transplant of institution, and carefully analyzed diversified restrictions of economy polity social institutions and cultural tradition in Chinese society, which influenced the transplant of the independent director institution enormously. The author also analyzed the deficiencies which had existed in the corporate governance of Chinese listed companies. Considering the deficiencies of the existent independent director institution, the dissertation shows the particular scheme of perfecting the independent director institution in Chinese mainland at the end.
