Imperils caused by soft clauses of L/C(letter of credit)are great and they not only cause the parties of L/C a great loss but also destroy the function of L/C as instrument of payment functioning as "the life blood of international business".In China ,it is estimated by China Bank that the economic losses caused by fraudulent act of soft clauses have amounted to ten millions of US dollars since 1992. In the past ten years ,many disputes and discusses by scholars indoors and outdoors were aroused about all aspects of soft clauses ,however ,no effective ways were found to solve the problem . The international authority has not yet given a definite definition to it up to now and the situation is complex. Fortunately, it has attracted much attention of the international society and many trade countries including China and America have responded to it with prejudication .The problem of soft clauses will be solved in the very near future with the united efforts of the world. Under these circumstances, this paper treatises on it by five parts:The first part, beginning with the concept of soft clauses, compares the different definitions of soft clauses given by scholars and analyzes the internal and external causes of soft clauses .The character of soft clauses is also deeply studied to come up with the point that the definition of the character of soft clauses should be all-around, objective and subjective and any other definition with extremely subjective or objective attitude should be rejected.The second part mainly discusses recognition and classification of soft clauses. Means and methods of recognition and classification of soft clauses are vital because soft clauses are manifold and complex. The study of recognition and classification of soft clauses is a breakthrough. The recognition and classification, which are confused by the scholars, are now made clearly different. Based on the scientific method of recognition, the soft clauses are classified.The third part is mainly about the validity of soft clauses. Validity of soft clauses is closely related to the character of them. Compared with the fraud on L/C, swindling on L/C, revocation of L/C and some other similar issues, this paper analyzes the differences and similarities between soft clauses and other issues and discusses the validity of soft clauses under different circumstances.The fourth part mainly expounds on remedy to the problem of soft clauses. The paper refutes the indefiniteness, weakness and conservativeness of remedy in the past and points out that the problem of soft clauses can resort remedy from the Principle of Fraud...
