The textile industry is traditional excellent industry in China. It is one of most benefited industry in international industry transferred. And it is around the labored enterprises, which competes rapidly. When China enter WTO, it is both good and bad effects. Many foreign enterprises will go to invest in China, it will bring advanced equipments and management experience for Chinese business. While, it will bring large challenge to enterprises, and Chinese enterprises compete with foreign companies by more fair rules. Our textile enterprises' scale is small and their skills are pastime. They have not enough central technique, and export compete in lowest price. For strengthening competitive capacity in both Chinese and international markets, our textile enterprises will reform all kinds of resources in enterprises with capital operation, and cultivate their central competitive capacity, form reasonable industrial structure. Chinese textile enterprises must envelop industrial groups and make area economy.On the basis of the M&A theory, the thesis uses the synthetic and concluding method for designing our textile industry and reforming textile enterprises 'industrial chain. Firstly, the article analyses the effects when china join the WTO, and show the necessity of our textile enterprises which take capital operation. Secondly, the article explain the M&A theory, advance a countermeasure for our textile enterprises how to make it more strengthen and more large by analyzing enterprises' chain and industrial structure. Finally, the article study the financial problems in the M&A and how to elect reasonable evaluation method making other business' price, and how to use many methods together.
