Sino-us Corporate Governance Structure Is A Comparative Study

In recent years, in theory and practice, many countries around the world attach much importance to the corporate governance structure. The effectiveness of the corporate governance structure and the function on market economy and social development have been recognized in many subjects, such as politics, economics, and law, etc.. The article applies analytical approach and normative approach on the corporate governance structure. First, the concept, jurisprudential foundation, and relation with corporate law are discussed. Second, the article mainly compares corporate finance, structure design, and legal environment of corporate governance structure of China with that of America. Further, the shortages of two countries' corporate structure are examined. As a conclusion, the suggestions for the improvement of China's corporate governance structure include: to establish and strengthen the mechanism of balance of intra-corporate governance and the outside legal regulations.
