The solution is that we shouldintegrate the public and private law system in corporation law, apply self-governanceof articles of association, arbitration, legislation, and other effective measures toprevent and solve the problem of corporation deadlock.The dissertation first summarizes the meaning, character, type, harms andsolution of corporation deadlock. Then, it analyzes the theory of frustration ofexpectant interest and theory of relational contract from the jurisprudence point ofview. Next, it introduces the relevant regulations of the main countries in commonlaw system and civil law system. Lastly, back to the purpose of the dissertation, afterdeliberating the history of the solution system in our country and the detail method inour country, combing the reality of our country, the dissertation gives the suggestionsto improve the solution mechanism of corporation deadlock in our country.
