Differing from traditional corporations, the establishment of modern corporations is based on power distribution and restriction. The basic governance system of modern corporations in civil law system countries consists of board of shareholders, board of directors and supervisory board, which is in close relationship with the existence and operation efficiency of the corporations. The supervisory board, as a special established department, can effectively prevent power abuse of the board of directors, and protect the legal rights of the shareholders and the companies.As a research on supervisory board, a part of corporation governance system, the thesis compares the supervisory board systems of major countries, expatiates the fundamental theories of the same, and makes an analysis on the selection of supervisory mode of corporations in China and its significance. The thesis analyzes the fact that the power of supervision board of PRC corporations is greatly weakened and puts forward some reform suggestions.The thesis consists of four parts.The first part makes a brief introduction of the necessities of setting-up supervisory boards in modern corporations.The second part is an analysis on the fundamental theories of supervisory boards like the configuration, the theoretical foundations of the origin and development, basic principles, related laws, functions and the mode selection of current supervisory board system in China. The author is of the view that the independent director system is a beneficial complement to the supervisory board system.The third part is an analysis of the fact that the power of supervision board of PRC corporations is greatly weakened in the perspectives of mentality, mechanism and legislation.The fourth part presents some proposals with regard to enhance the professional, independence and responsibility of the supervisory board of PRC corporations.
