It is known that institutions are far more important than technologies. To some extent, a country's competitiveness lies on its corporations. Under the focus of Chinese people attention and also in the background of worldwide corporation legal reform, the Corporation Law of China was revised last year. There are a lot of innovations in corporate institutions, which are thought highly of by many people. However, there is no end in corporate legal reform because reform is everlasting. Incentive mechanism is a hot but awkward question and it is still greatly meaningful to study it.This paper is composed of four parts: the foreword, the first chapter, the second chapter and the third chapter. There are some introductions in the foreword about the option's meaning of incentive mechanism and research status quo of it. My innovations are also referred there. The innovations in this paper are as follows:1. Basic management theories are evaluated for corporate governance;2. Incentive organs set up in terms of the importance of incentive mechanism;3. Combination of incentive organs and incentive measures.In the first chapter, eight basic management theories are introduced and evaluated in terms of corporate governance structure. In the second chapter, five incentive measures are introduced and analyzed in detail. In the third chapter, perfections of corporate governance, laws and regulations are recommended there.The second chapter and the third chapter are the key chapters in this dissertation. In the first chapter, I introduced eight management theories and evaluated them logically.
