On The Perspective Of Competition Law Within The Business Combination

It is very popular for the enterprise to combine other enterprises in the world now. The merge between enterprises is the economical development tendency and the necessary result of competition in the market. It is also a kind of means to pursue the economic of scale. But the merge between enterprises is a sword with two sides. However extra merger can limit the competition and destroy the market order. The competition law is the core of economic law, its duty is to maintain the fair competition and prohibit economy centralism. In the merge between enterprises question, being to prohibit, severe or tolerant will have the important influence to our country economy. The competition method theory and the practice proof competition law have the necessity to implement law control to the business combination. How to protect the fair competition and develop economy, how to both overcomes the monopoly′s negative effect and to avoid excessive competition harming the economies of scale and social public interest is a very important question. From the basic issue——enterprise-combining′s definition and categorize, this treatise do a more comprehensive and in-depth discussion to the control of the merge between the enterprises.The paper consists of five parts. In the first part, the author makes clear a certain number of notions of basic theories of enterprise-combining and anti-monopoly rule and elaborates his comprehension of these notions. In the second part, I analysis the value of enterprise-combining including both the analysis of enterprise-combining′s reason and analysis of the good and the bad effect of enterprise-combining. The third and the fourth part respectively analysis the theory and system about the control of enterprise-combining. The second part and the third part and the fourth part are the focus of this paper. In the end, I envisaged some ways about the control of enterprise-combining.
