One-man Company And Its Legal Regulation

With the rapid development of market economy, the main body of the market presents multiplex the developing trend of daily multiplex. Following this trend, one-person-company arises. It is not a new form of company but a special form of Limited liability company and Limited liability company, which determines that the one-person-company forms sharp contrast with the traditional legal person system from the very beginning and brings out heated discussion. However, the one-person-company has obtained acceptances from more and more nations and regions by its powerful vitality. In 2005, China clearly proposed the concept of "limited liability company of one person" for the first time in the newly revised law of corporation and formulated the corresponding standard, which enormously enriched our country law of corporation theory. In view of the fact that the establishment of one-person-company just written in our national law, the author probes into its historical origin and realized movement from its basic theory, carries on the further ponder and the consummation to the legislation rules from the relative regulations on the one-person-company, aiming to make use of favorable conditions and avoid unfavorable conditions by the time, promoting the national modernization of our Enterprise.This paper is divided into three main parts, introduction, body which is divided into four sub-parts and the postscript.Part one: mainly studies the elementary theory of the one-person-company. The author firstly illustrates the essential differences between it and the other forms of companies by analyzing its concept, characteristics and category. Then, by analyzing the lawful character of the one-person-company, five universally accepted theories are introduced, bringing out the author's basic recognition towards one-person-company. Finally, through the comparative analysis between the one-person- company and the correlation enterprises, the author proves the special nature of it on aspects of legal adjustment, responsibilities, organizations, and so on.Part two: Mainly studies history and the advantages of a one-person-company.
