Along with the vigorous development of e-commerce, e-commerce has extensive personal access to people's daily lives. As an important form of E-commerce, online auctions have become the primary personal e-business representatives. Now, the online auctions have become a remarkable new trading mechanism and an increasing number of consumers are being involved. However, there are lots of differences between traditional auction and online auction, so the legal issues it involves are not entirely applicable to the auction method. In recent years, the online auction legal risks have become increasingly prominent, which makes it necessary to focus on the legal risk analysis. In this paper, it begins with the definition of online auction, then with the distinction between traditional auction and online auction, as well as the legal relationships between the two parties. It analyses the online auction's application of the law, and then focus on C2C, B2B online auction models : the two most commonly used models. Finally, on the basis of the existing research, the paper proposes some online auction legislation thinking.
