| With economy of our country having developing, many kinds of the economic persons occurred. There exist many one-man companies which are invested by either foreign business persons or our government in our country . And also exist many companies that are controlled by one man in practice. Amendment of Company Law in 2005 adopted the one-man company in China. But our one-man company system needs perfect deeply because its existing many shortcoming. This essay analysizes the one-man company system of foreign countries and Taiwan in order to put forward some suggests to perfect our country'regislation.This essay consists of three parts. Part one of this article states basic knowledge about one-man company, such as; the definition, the category, the character, the regulations of foreign countries, the shortcoming of our country regulation. Part two analysizes the one-man company of regislation in our country , including two problems. Part three states my suggests for perfect one-man company. The author suggests that we should activate the mechanisms of denying the limited responsibility of the one-man company in some special conditions, particularly modify the modern corporate ruling structure from following two points: the safeguard of substantial and procedural law. |
