Dissentient Shareholder Buyback Rights System Study

The appraisal right of the dissenters is the object to study in this thesis. The writer introduced the history of how it comes into being and evolvements, analyzed its logical base, and then demonstrated its value and function. After that the writer studied on the America Corporate Law from the view of comparative way, especially the main body, the object, the bound, and the process. The style or manner of writing is because that: teased its history in order to understand its cause and effect; analyzed its entomological base in order to understand its justice to exist; demonstrate its value in order to understand its function. The study of basal theory is the principia of how to design its process, and this was incarnated in the rest of the paper. At last, the writer analyzed this system in our corporate law and brought forward the advice about how to ameliorate this system.
