Since the 1990s, foreign direct investment in China has increased by leaps and bounds. Many of the world's leading large multinational companies invest in China and gradually expand the scope of business. To integrate their business in China, all of these companies want to set up investment companies. Provisions on the Establishment of Investment Companies by Foreign Investors are promulgated by the Ministry of Commerce, and it provides the legal issues on the establishment of the investment companies comprehensively. Based on the current law system and analysis of the sort, this article sums up the current laws and regulations on investment Companies, and give proposals to improve the investment company law system.This article is divided into four chapters:The first chapter elaborates basic legal issues of the investment companies, including the concept, features and legal natures of the investment companies. In addition, it differentiates between a few concepts related and the investment companies. The second chapter elaborates China's current laws and regulations related to investment companies. The third chapter analyses the problems in the law of the investment companies. The main problems are M & A, related party transactions andanti-trust issues. The last chapter puts forward proposals to improve the legal system of investment companies.
