As a form of stock equity motivation,the deferred compensation plan has unique characteristics compared with other forms of stock equity motivation,such as stock options.It strengthens the motivation and restriction of senior managers,and helps to form long-term motivation mechanism within state-owned enterprises.Due to the flawed law system and the imperfect external environment,some problems emerged during the application of the deferred compensation plan in China.Through exploring the necessity and possibility of applying the deferred compensation plan within state-owned enterprises,and based on the problems in the process of application,the thesis poses suggestion for perfecting our country's law regulation of the deferred compensation plan. To be specific,the thesis includes introduction and the four-part text.The introduction part points out the significance and research background of the thesis.This part briefly introduces the application of the deferred compensation plan in our country,and analyzes the current relevant legal regulation in our country,and the theatrical research status quo.The first part of the text discusses the concept of the deferred compensation plan,its origin,development history and theoretical base. The first part also further clarifies the advantage of the deferred compensation plan by comparing it with other forms of stock equity motivation,so as to present a comprehensive definition and analysis of the deferred compensation plan,laying foundation for the followoing parts of the thesis.The second part defines the application scope of the deferred compensation plan within state-owned enterprises,and further analyzes the necessity and possibility of applying the deferred compensation plan within state-owned enterprises by focusing on problems such as the control of insiders and the absence of owners.The third part points out the characteristics of applying this stock equity motivation within the state-owned enterprises through analysis and comparison of three typical cases.By referring to the application of the deferred compensation plan,this part analyzes the problems in this process and lays foundation for perfecting relevant legal regulations.The fourth part poses legislation suggestions for the deferred compensation plan based on the study of legal regulations of stock equity motivation both at home and abroad,and aims to promote the application of the deferred compensation plan within state-owned enterprises.The conclusion of the thesis emphasizes that the smooth application of the deferred compensation plan requires both the law system and the external environment.Only through the constant perfection of the legal system and the stable improvement of the external environment can the deferred compensation plan function as motivation and restriction more effectively.
