In this paper, managing experience of western countries was fully investigated based on the careful analysis of all kinds of Infringement behaviors. Besides, Taking account into the reasons of Infringement of the listed companies, we offer some opinions to construct the external environment of laws and complete internal system of Supervision and management. In this way, it is expected to solve Shareholders'Infringement of the listed companies effectively from views of law.
