Enterprises With Foreign Investment Company Impasse Legal Prevention Research

Since the adoption of reform and opening-up policy in 1979, they have rushed up that are chinese-foreign equity joint venture company, chinese-foreign contractual company and foreign-capital company for improving economy.Specially corporate deadlock appeared in foreign-funded enterprises at first. But the concept of "corporate deadlock" is not metioned in the company law and the three laws of foreign-funded enterprises,whose meaning is brought up in the new company law of 2006.As the particularith of foreign-funded enterprises, which are different nationality,different cultural backgroud,different geogroaphical features and different managerial authority,it becomes a topic of general interest that is how to prevent corporate deadlock of foreign-funded company.As the different corporate government, the topic is what is its expression and how to prevent it that is corporate deadlock of foreign-funded company.The corporate deadlock of foreign-funded company will potentially jeopardize the inierests of the corporation,shareholders,creditor,staff and the whole society.As the foreign-funded enterprises concerning foreign elements, the expression of corporate deadlock is more complicated, its effection is heavier;it may influence upon attraction foreign capital,if the problem of corporate deadlock isnot solved. In my opinion, firstly, we should apply in company law to solve corporate deadlock of foreign-funded company, then,enhance and improve the three laws of foreign-funded company, finally, put forward a proposal that prevent corporate deadlock of the foreign-funded company.
